Service scope is limited to what is explicitly agreed upon in writing. Any additional work requires a separate agreement or fee.

3. LLC Formation Services

LLC formation services are administrative and filing-based only. We do not provide legal advice or legal representation. Approval depends solely on state authorities. Processing timelines are estimates and not guaranteed. Clients are responsible for ongoing compliance and filings.

4. Sales Tax & Income Tax Filing

Tax services are based entirely on client-provided information. ScoutEcomm Solutions is not responsible for inaccurate data. We do not guarantee acceptance by tax authorities. Tax laws and requirements may change without notice. Penalties, audits, or interest imposed by authorities are not our liability.

5. Amazon Account Creation

Amazon account creation is subject to Amazon’s internal approval process. ScoutEcomm Solutions is not affiliated with Amazon. Account approval, suspension, or rejection is controlled by Amazon. We do not guarantee account approval or reinstatement. Clients accept all marketplace-related risks.

6. Amazon Wholesale Account Management

Amazon Wholesale services involve market and operational risks. We do not guarantee sales, profits, Buy Box ownership, or rankings. Results depend on pricing, competition, and Amazon policies. Account health remains the client’s responsibility. Policy violations may result in suspension beyond our control.

7. Amazon Product Research

Product research is based on available market data at the time. We do not guarantee product success or profitability. Market conditions may change after research delivery. Final sourcing and investment decisions rest with the client. Losses incurred are not our responsibility.

8. Social Media Marketing (Meta Ads)

Social Media Marketing services are limited to Meta Ads only. We do not guarantee leads, conversions, or ROAS. Ad performance depends on budget, audience, and competition. Meta policy changes may affect campaign delivery. Clients must approve all ad creatives and copy.

9. Shopify Store Creation

Shopify services include design and technical setup only. Sales, traffic, and revenue are not guaranteed. Third-party apps may involve additional costs. Shopify platform rules apply at all times. Ongoing management is not included unless agreed.

10. WordPress Store Creation

WordPress services may involve third-party themes or plugins. We are not responsible for hosting or plugin failures. Security and performance depend on hosting providers. Maintenance is excluded unless stated in writing. Client approval is required before project completion.

11. Business Website Development

Business websites are developed for informational and branding purposes. SEO rankings, leads, or sales are not guaranteed. Hosting and domain services are not included by default.
Content accuracy is the client’s responsibility. Revisions are limited to agreed terms.

12. Payments & Fees

All fees must be paid in advance unless otherwise agreed. Payments are non-refundable once work has commenced. Pricing is subject to change without prior notice. Late payments may result in service suspension. Taxes and third-party costs are the client’s responsibility.

13. Refund Policy

Refunds are governed strictly by our Refund Policy. No refunds are provided for completed or partially delivered services. Digital and consultation-based services are non-refundable. Refund requests must be submitted in writing. Management decisions on refunds are final.

14. Client Responsibilities

Clients must provide accurate and complete information. Delays caused by the client may affect timelines. Clients are responsible for compliance with platform rules. Failure to cooperate may result in service termination. ScoutEcomm Solutions is not liable for client negligence.

15. Limitation of Liability

All services are provided “as is” without guarantees. We are not liable for indirect or consequential losses. Business risks are solely the client’s responsibility. Total liability is limited to fees paid for the service. Past performance does not guarantee future results.

16. Intellectual Property

All website content is owned by ScoutEcomm Solutions. Unauthorized reproduction is prohibited. Client-owned materials remain client property. Third-party trademarks belong to their respective owners. No license is granted without written permission.

17. Confidentiality

Client information is treated as confidential. We implement reasonable security measures.
However, online transmission carries inherent risks. Absolute data security cannot be guaranteed. Clients acknowledge these risks.

18. Termination

We reserve the right to terminate services for violations. Non-payment may result in immediate suspension. Misuse or abuse of services is prohibited. Termination does not entitle refunds. Outstanding balances remain payable.

19. Governing Law

These Terms & Conditions are governed by applicable laws. Jurisdiction will be determined in accordance with regulations. Disputes will be resolved through legal channels. Invalid provisions do not affect remaining terms. These Terms constitute the entire agreement.
